Terms and Conditions
These Terms and Conditions set out the requirements and obligations for recipients (“Grant Recipients”) of grants provided by WAVE Berwick (“the Charity”). By accepting a grant, the Grant Recipient agrees to comply with these Terms and Conditions in full.
Purpose of the Grant
The grant must be used solely for the project, activity, or purpose described in the Grant Application and approved by the Charity. The Grant Recipient shall not use the funds for any other purpose without the prior written consent of the Charity.
Eligibility
Grant Recipients must meet and continue to meet all eligibility criteria as set out in the application guidelines. The Charity reserves the right to withdraw funding if it is discovered that the criteria are not met or have been misrepresented.
Use of Funds
Funds must be used efficiently, effectively, and solely for the approved project or purpose.
Any material changes to the project or budget must be approved in advance by the Charity.
Grant Recipients must maintain accurate financial records and evidence of expenditure.
Timescales
Grant Recipients have 6 months to use their gran
Grant Recipients are given an official start date and end date to use their grant (outlined at the top of this agreement)
Grant Recipients have up to 2 months after the end date to send us their final report (outlined at the top of this agreement)
Reporting and Monitoring
Grant Recipients must monitor their progress and submit a final report upon completion of the project.
The Charity reserves the right to visit the project site, request further information, or audit records to ensure compliance.
Publicity and Acknowledgement
The Grant Recipient must acknowledge the Charity’s support in all relevant publications, press releases, and promotional materials, using our logo.
Any public statements regarding the grant or project must be agreed with the Charity in advance.
Withholding, Suspension, and Repayment of Grant
Clawback mechanism
The Charity reserves the right to withhold, suspend, or require repayment of all or part of the grant if:
Funds are not used for the approved purpose
Outcomes are not delivered without reasonable justification
There is a breach of these Terms and Conditions
False information has been provided
The Grant Recipient becomes insolvent or ceases operations
The project is not completed as agreed
There are safeguarding issues
Mismanagement or fraud is identified
Performance Monitoring
Grantees must submit progress reports at agreed intervals.
Reports must demonstrate delivery against agreed outputs, outcomes, and financial accountability.
The charity reserves the right to conduct audits, site visits, or request additional information.
Reallocation
Reallocated funds will be directed to projects that advance the charity’s mission and benefit intended communities.
Donors and stakeholders will be informed of significant reallocations to maintain transparency and trust.
Escalation Procedures for Underperformance
If monitoring identifies underperformance or non-delivery:
Stage 1 – Informal Resolution
The charity will notify the grantee in writing of concerns.
A remedial action plan will be agreed upon, with clear milestones and timelines.
Stage 2 – Formal Review
If remedial actions are not met, the charity will initiate a formal review.
Funding may be suspended pending review outcomes.
The grantee may be required to attend a meeting with charity representatives to explain performance gaps.
Stage 3 – Reallocation or Clawback
If underperformance persists, the charity may:
Reallocate funds to another project or organisation better able to deliver outcomes.
Claw back unspent or misused funds through repayment demands.
Future funding eligibility may be restricted or withdrawn.
Liability
The Charity accepts no liability for any damages, losses, or injuries resulting from the project or use of the grant. The Grant Recipient is fully responsible for the management and delivery of the project, including compliance with all relevant laws and regulations.
Data Protection
The Charity will process information in accordance with applicable data protection laws. Grant Recipients consent to the Charity holding and processing information for the purposes of grant administration, monitoring, and evaluation.
Termination
The Charity may terminate the grant with immediate effect if the Grant Recipient breaches these Terms and Conditions. Upon termination, the Grant Recipient may be required to repay any unspent funds or funds not used in accordance with these Terms and Conditions.
General
These Terms and Conditions are governed by the laws of England and Wales.
No amendment to these Terms and Conditions shall be effective unless in writing and signed by both the Charity and the Grant Recipient.
If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
